The Marriott International HQ located at 10400 Fernwood Road, Bethesda, MD 20817 is currently hiring a Paralegal II, Managed Development.
Responsibilities include: The Paralegal II will be based in Marriott’s worldwide corporate headquarters in Bethesda, Maryland, and will report to a Vice President & Senior Counsel on the Managed Development team which is part of the larger Americas Development and Corporate Affairs group. The Marriott International Law Department services the Company's lodging business. This position will focus on providing legal services in all phases of Marriott’s owned or managed development projects throughout the region, including development, acquisition, disposition and financing of lodging and mixed-use projects in the Marriott system located in the US and Canada, and provide support on mergers and acquisitions as-needed. Expected Contributions The paralegal selected for this position will provide legal services including: • Provide direct support to the attorneys and assist other members of the group on managed and corporate owned hotel projects and branded residential projects. • Draft and negotiate confidentiality agreements. • Prepare drafts of term sheets, management agreements, amendments to agreements, correspondence and other documents for attorney review. • Organize and conduct legal due diligence and prepare due diligence reports relating to hotels to be acquired, financed, managed or sold. • Draft and maintain transaction checklists and key contact lists, prepare closing documents including powers of attorney, secretary certificates and exhibits to documents, manage document production from negotiation to closing, and organize and attend closings as required. • Prepare closing briefs and conduct follow-up regarding post-closing items, such as finalizing and obtaining copies of closing documents, effecting necessary filings, etc. • Review and analyze management agreements and other documents on a variety of issues, including interpreting territorial restrictions. • Participate in the monthly review of the impact of proposed properties on existing properties for the Growth Administration Committee. • Undertake other assignments, including research, review, and analysis of contract documentation and other issues, as requested. Candidate Profile Successful candidates should possess experience as follows: • Two-year college degree required; and • Minimum relevant work experience of three years. OR • At least ten years of relevant work experience as a paralegal Successful candidates should possess knowledge and skills as follows: • Good written and oral communication skills - Strong drafting skills a plus • Proficiency in MS Word and Outlook • Strong business ethics and personal integrity • Ability to work independently, take ownership of issues, and effectively resolve problems • Good interpersonal skills and ability to interact effectively, work diplomatically, and foster relationships • Collaborative approach and professional presence • Solid time management skills • Diligence, dependability, and strong work ethic • Flexibility to adapt to changing priorities quickly and comfortably • High energy, drive, and enthusiasm for work
