The Marriott International HQ located at 10400 Fernwood Road, Bethesda, MD 20817 is currently hiring a Paralegal II, Corporate Secretary.

Responsibilities include: This paralegal position is part of the Corporate Secretary practice group of the Law Department and will report to the VP & Asst. General Counsel, Corporate Secretary. This position shares responsibility with two other paralegals for the formation and administration of all Marriott entities located in the Caribbean, Latin America, Central America, Canada and the United States. These entities include subsidiaries (wholly- or majority-owned), branches, and representative offices. The position involves assisting and sharing information with multiple stakeholders, managing significant work load and time sensitive requests and managing conflicting requirements of multiple stakeholders. Expected Contributions The Paralegal II primary responsibilities are: • Coordinate the formation and registration of appropriate Marriott entities, including but not limited to drafting appropriate articles of organization, bylaws, resolutions, minutes, powers of attorney, apostilles, legalizations, authentications and other organizational documents. Requires coordination with local country counsel, registered agents and Law, Accounting and Tax Departments regarding compliance with foreign entity requirements. • Act as liaison between Law Department and local counsel regarding entity administration, and facilitate the sharing of information between the Corporate Secretary's Office and the Law, International Tax & Accounting, and Finance Departments. • Manage and maintain all records and required documentation for each entity in which Marriott holds an equity position, and , including but not limited to drafting and filing annual reports, providing corporate officer/director information for local filings, maintenance of minute books, stock certificates, and company seals, and providing formalities (attestations, seals, etc.) as required, including but not limited to drafting and filing annual reports, providing corporate officer/director information for local filings, maintenance of minute books, stock certificates, and company seals, and providing formalities (attestations, seals, etc.) as required. • Update and maintain database of the entities, including date of formation, officers, directors, local filings, formalities and procedural requirements for each entity. Maintain tickler and coordinate with outside counsel and other Marriott departments (including International Tax & Accounting Group) to ensure all filings are timely made. • Work closely with the Tax Department to effect entity withdrawals, dissolutions, mergers and other entity restructurings. Candidate Profile Required: • Bachelor’s or two year college degree and • Minimum relevant work experience of three years. OR • At least ten years of relevant work experience as a paralegal • Has experience as a paralegal in the Corporate Secretary's Office of a major corporation or comparable experience in a law firm or corporate environment, with specific experience in entity management; Paralegal Certificate preferred but not required; • Successful candidates should possess knowledge and skills as follows: o Fluency in Spanish preferred but not required o International experience strongly preferred; o Strong project management skills, and ability to meet simultaneous deadlines in a fast-paced environment. • Excellent interpersonal skills and ability to interact and communicate effectively, specifically: o Ability to present ideas and information in a clear, concise manner; o Ability to interact effectively and develop positive, professional working relationships with clients as well as team members. • Ability to work independently and as part of a team; • Excellent judgment and use of discretion; • Superior attention to detail; • Diligence, dependability and strong work ethic; • Ability to remain calm in high stress situations, demonstrate “grace under pressure”, and lead by example; • Ability to adapt to changing work demands; • Strong organizational and time management skills; • Proficiency in MS Word and Outlook; • Proficiency in Blueprint or familiarity with database functionality and operation; • Good computer skills for charts and other creative documents; • Availability for some travel; and • Flexibility for overtime.
